Terms of Service and Terms of Purchase

These Terms of Service and Terms of Purchase (“Terms”) govern the purchase and use of services provided by Core Pipelines LLC, a Colorado limited liability company doing business as Core Pipelines (“Core Pipelines,” “Provider,” “we,” “us,” or “our”), to the customer purchasing or using the services (“Client,” “you,” or “your”).

 

By reviewing these Terms, checking the required acceptance box at checkout, submitting payment, signing an order form, paying an invoice, authorizing setup, or using the services, Client agrees to be bound by these Terms.

 

Client will have the ability to review these Terms before completing purchase. After purchase, Core Pipelines may also email Client a copy of these Terms, a link to these Terms, or other purchase records for Client’s files.

 

These Terms apply together with any checkout page, order form, proposal, invoice, pricing page, statement of work, privacy policy, or written service description provided by Core Pipelines.

 

 

1. Agreement Overview

 

Core Pipelines provides AI-powered business communication, lead capture, automation, customer engagement, appointment booking, review support, website-related tools, CRM-related tools, and related services.

 

These services may include, depending on the package selected, AI voice receptionist services, AI web chat, AI SMS texting, missed-call text-back, emailed transcripts, call summaries, chat summaries, review request tools, automated review responses, appointment reminders, calendar booking tools, dashboards, mobile app access, websites, CRM tools, live call transfers, workflow automations, and support.

 

The exact services included depend on the package purchased, checkout page, pricing page, written order form, invoice, or signed agreement.

 

 

2. Packages and Included Services

 

Core Pipelines may offer service packages including AI Basic, AI Pro, AI Premium, AI Elite, or other packages shown on Core Pipelines’ website, pricing page, checkout page, invoice, or order form.

 

AI Basic

AI Basic includes AI Voice Phone Receptionist, emailed transcripts, and email support.

 

AI Pro

AI Pro includes AI Voice Phone Receptionist, emailed transcripts, AI WebChat Website Widget, Google Reviews with automated response, Website Option, and email support.

 

AI Premium

AI Premium includes AI Voice Phone Receptionist, emailed transcripts, AI WebChat Website Widget, Google Reviews with automated response, Website Option, AI Voice Website Widget, AI SMS Texting with emailed transcripts, AI Missed Call SMS Text Back, Dashboard, and email/chat support.

 

AI Elite

AI Elite includes AI Voice Phone Receptionist, emailed transcripts, AI WebChat Website Widget, Google Reviews with automated response, Website Option, AI Voice Website Widget, AI SMS Texting with emailed transcripts, AI Missed Call SMS Text Back, Dashboard, Live Call Transfers, Mobile App, AI Calendar/Appointment Booking and Reminders, CRM Option, and email/chat/phone support.

 

 

Package names, features, vendors, tools, descriptions, and included services may change over time. Core Pipelines will make reasonable efforts to provide substantially similar functionality for active paid Clients, but exact features, vendors, tools, designs, workflows, or configurations are not guaranteed unless specifically stated in a signed written agreement.

 

“Website Option,” “CRM Option,” or similar language means the feature may be available if selected, approved, configured, and supported by Core Pipelines. Optional features may require additional setup fees, monthly fees, usage fees, third-party fees, or written approval.

 

 

3. Pre-Purchase Review and Checkout Acceptance

 

Before completing an online purchase, Client will be given the ability to review these Terms, the Privacy Policy, the selected package, recurring billing terms, cancellation policy, and any applicable usage-based or pass-through charges.

 

To complete purchase, Client may be required to check an acceptance box confirming agreement to these Terms.

 

The checkout acceptance box may state substantially, or similarly, as follows:

 

“I have had the opportunity to review the Core Pipelines Terms of Service, Terms of Purchase, Privacy Policy, recurring billing terms, cancellation policy, usage-based charges, pass-through fees, AI and automation limitations, and communication compliance responsibilities before completing my purchase. I agree to those terms and authorize Core Pipelines to charge my selected payment method for recurring subscription fees and applicable usage-based or pass-through charges. I understand that a copy of the terms may be emailed to me after purchase for my records.”

 

By checking the acceptance box and completing purchase, Client confirms that Client had the opportunity to review these Terms before purchase and agrees to be bound by them.

 

Client understands that checking the acceptance box, submitting payment, signing electronically, paying an invoice, authorizing setup, or using the services may create a binding agreement.

 

 

4. Post-Purchase Email Copy

 

After purchase, Core Pipelines may email Client a copy of these Terms, a receipt, a purchase confirmation, a link to the applicable Terms, or other purchase records.

 

The post-purchase email copy is provided for Client’s records and convenience. Client’s agreement becomes effective when Client checks the required acceptance box, submits payment, signs an order form, pays an invoice, authorizes setup, or begins using the services.

 

Receiving a post-purchase email copy does not create a new refund right, cancellation right, trial period, or right to reject the Terms unless specifically stated in writing or required by law.

 

Client is responsible for saving, downloading, printing, or otherwise retaining a copy of these Terms for Client’s own records.

 

 

5. Electronic Records and Acceptance Records

 

Client agrees that electronic records, electronic signatures, online checkbox acceptance, payment records, website checkout records, email confirmations, IP address records, timestamps, order records, and related records may be used to show Client’s agreement to these Terms.

 

Core Pipelines may collect and store acceptance information, including Client name, business name, email address, phone number, package purchased, payment method, purchase date, checkout timestamp, IP address, acceptance checkbox confirmation, version of Terms accepted, and related order information.

Client agrees that electronic acceptance has the same effect as signing a paper agreement.

 

 

6. Order Forms, Invoices, and Custom Agreements

 

Client may purchase services through an online checkout page, invoice, order form, proposal, signed agreement, or other approved payment method.

 

For higher-tier packages, custom projects, special arrangements, discounted offers, or custom pricing, Core Pipelines may require an additional signed order form, statement of work, or written agreement.

 

If there is a conflict between these Terms and a signed written agreement, the signed written agreement controls only for that specific conflict.

 

Unless otherwise stated in writing, these Terms apply to all services provided by Core Pipelines.

 

 

7. Term, Renewal, Cancellation, and Refunds

 

Services begin on the date of purchase, signature, invoice payment, written approval, or setup authorization, unless otherwise stated in writing.

 

Monthly subscriptions automatically renew each month until canceled. Annual subscriptions automatically renew each year unless Client provides written cancellation notice at least 30 days before the annual renewal date.

 

Client may cancel a monthly subscription before the next billing date to avoid the next monthly charge.

 

Cancellation requests must be submitted in writing to Core Pipelines through an approved support channel or email address.

 

Cancellation does not relieve Client of responsibility for unpaid fees, setup fees, usage-based fees, pass-through charges, third-party charges, or other amounts already incurred.

 

Unless otherwise stated in writing, all fees are non-refundable. No refunds or credits are provided for partial months, unused time, setup work, onboarding work, completed services, custom work, or services already delivered.

 

Core Pipelines may terminate or suspend services for non-payment, chargebacks, misuse, compliance concerns, platform risk, legal risk, security risk, reputational risk, or violation of these Terms.

 

 

8. Billing and Payment

 

Client agrees to pay all fees associated with the selected package, checkout purchase, order form, invoice, or written agreement.

 

Payment may be made by credit card, debit card or another method approved by Core Pipelines.

 

Client authorizes Core Pipelines and its payment processors to charge Client’s selected payment method for subscription fees, setup fees, usage-based fees, pass-through charges, late fees, and other amounts owed.

 

Late payments may incur a late fee of 1.5% per month or the maximum amount allowed by law, whichever is lower.

 

Client is responsible for reasonable collection costs, chargeback fees, payment dispute fees, attorney fees, and other costs incurred by Core Pipelines in collecting unpaid amounts.

 

Core Pipelines may suspend or limit services if payment fails, invoices remain unpaid, usage becomes excessive, or Provider reasonably believes continued service creates financial, legal, technical, platform, or compliance risk.

 

 

9. Usage-Based Fees and Pass-Through Charges

 

Certain services may include usage-based fees or pass-through charges. These may include, but are not limited to, phone calls, phone numbers, SMS, MMS, email usage, AI usage, call recording, call transcription, hosting, domains, integrations, premium features, third-party applications, carrier fees, platform fees, or vendor-related costs.

 

Unless otherwise stated in writing, Client is responsible for all usage-based fees and pass-through charges connected to Client’s account, including fees caused by Client’s users, employees, customers, leads, automations, integrations, phone traffic, message volume, AI usage, or connected platforms.

 

Core Pipelines may require prepayment, deposits, usage limits, billing limits, or payment method authorization before enabling certain services.

 

Core Pipelines may suspend, limit, or disable usage if payment fails, usage becomes excessive, usage appears abusive, or Provider reasonably believes continued usage creates financial, legal, technical, vendor, carrier, or compliance risk.

 

 

 

10. Setup, Onboarding, and Client Cooperation

 

Client agrees to provide accurate and timely information, access, approvals, content, business details, branding materials, login credentials, calendar access, phone settings, DNS/domain access, website content, compliance information, and any other materials needed to set up or maintain the services.

 

Setup timelines are estimates only. Core Pipelines is not responsible for delays caused by Client, third-party platforms, missing access, incorrect information, delayed approvals, DNS/domain issues, carrier registration delays, rejected SMS/A2P campaigns, unavailable integrations, payment issues, or platform restrictions.

 

Client is responsible for reviewing, testing, approving, and monitoring all services, including AI responses, voice scripts, chat scripts, workflows, automations, calendar settings, call routing, SMS messages, email messages, review requests, website content, forms, and connected systems.

 

Failure by Client to provide timely access, information, approvals, or cooperation may delay setup or limit service performance. Client remains responsible for payment during delays caused by Client or third-party platforms.

 

 

11. Out-of-Scope Work and Additional Fees

 

Any work not expressly included in the selected package, order form, invoice, checkout page, or written scope may require additional fees.

 

Out-of-scope work may include, but is not limited to, custom development, advanced automations, additional websites, additional funnels, custom integrations, copywriting, design revisions, CRM cleanup, data migration, third-party troubleshooting, account repair, complex calendar configuration, advanced reporting, custom AI training, additional prompt work, rework caused by Client changes, or work outside the selected package.

 

Core Pipelines may require written approval and payment before performing out-of-scope work.

 

 

12. Client Communication Compliance Responsibilities

 

Client is solely responsible for ensuring that all contacts, leads, customers, phone numbers, email addresses, and recipient information provided to Core Pipelines were collected lawfully and may be contacted lawfully.

 

Client is responsible for obtaining, documenting, and maintaining all required consents, permissions, opt-ins, and records required for calls, text messages, emails, review requests, appointment reminders, AI voice communications, automated messages, marketing communications, and other communications.

 

Client agrees to comply with all applicable laws, rules, regulations, platform policies, and industry requirements related to telemarketing, SMS/MMS messaging, email marketing, call recording, consumer privacy, Do Not Call rules, unsubscribe requirements, opt-out requirements, artificial or prerecorded voice rules, AI disclosure rules, and industry-specific restrictions.

 

Client is solely responsible for the content, accuracy, legality, and approval of all messages, offers, claims, scripts, automations, review requests, AI responses, and communications sent through or connected to the services.

 

Core Pipelines may suspend, limit, or terminate communication-related services if Core Pipelines believes Client’s use may violate law, carrier rules, platform rules, third-party policies, or compliance requirements.

 

 

13. SMS, A2P, Phone, Email, and Review Request Compliance

 

Client is solely responsible for obtaining proper consent before sending SMS, MMS, phone calls, emails, review requests, appointment reminders, missed-call text-back messages, or other communications.

 

Client agrees not to upload, import, message, call, or email contacts who have not lawfully consented to receive the applicable type of communication.

 

Client is responsible for honoring opt-outs, unsubscribe requests, Do Not Call requests, STOP requests, HELP requests, consent revocations, and other communication preferences.

 

Client understands that SMS and phone services may require registration, approval, opt-in language, privacy policy language, terms language, sample messages, business verification, carrier approval, and ongoing compliance with carrier and platform rules.

 

Client understands that SMS and phone deliverability is not guaranteed. Messages may be blocked, filtered, delayed, rejected, or restricted by carriers, phone providers, platforms, spam filters, or third-party systems.

 

Client is responsible for ensuring that commercial email communications include proper sender information, truthful subject lines, required disclosures, physical mailing address information, unsubscribe links or other valid opt-out methods, and timely honoring of opt-out requests.

 

Client is responsible for ensuring review requests and automated review responses comply with applicable platform rules, including Google’s policies and any other review platform rules.

 

 

14. Mobile Messaging Terms

 

If Client uses Core Pipelines services for SMS or MMS messaging, Client understands and agrees that messaging may be subject to additional carrier, platform, and legal requirements.

 

Message frequency may vary depending on Client’s selected services, automations, customer activity, appointment activity, and communication settings.

 

Message and data rates may apply.

 

Recipients may opt out of SMS messages by replying STOP, or by using another reasonable opt-out method made available by Client, Core Pipelines, or the applicable platform.

 

Recipients may request help by replying HELP, or by contacting the support contact listed by Client or Core Pipelines, when applicable.

 

Carriers are not liable for delayed or undelivered messages.

 

Client is responsible for making sure its own customers, leads, and contacts receive all required notices, disclosures, opt-in language, opt-out instructions, and support contact information.

 

 

15. AI and Automation Limitations

 

Client understands that AI systems, chatbots, voice agents, automations, workflows, and related tools may make mistakes.

 

AI systems may misunderstand users, provide incomplete answers, provide inaccurate answers, fail to complete an action, fail to transfer a call, fail to book an appointment, fail to send a message, send a message at the wrong time, respond in an unexpected way, or require human review.

 

Core Pipelines does not guarantee that any AI system, automation, workflow, phone system, SMS system, email system, calendar integration, website, chat widget, or third-party platform will be error-free, uninterrupted, or produce a specific business result.

 

Client is responsible for reviewing, approving, testing, supervising, and monitoring the AI employee, scripts, prompts, workflows, automations, responses, call routing, appointment settings, and connected systems.

 

Client agrees not to use the services for emergencies, medical advice, legal advice, financial advice, insurance advice, crisis situations, life-safety communications, or any use where failure of the service could create harm.

 

 

16. Call Recording, Call Monitoring, and AI Disclosure

 

Client is solely responsible for determining whether call recording, call monitoring, AI voice disclosure, consent notices, or other disclosures are required for Client’s business, location, industry, callers, customers, employees, or users.

 

Client is responsible for approving all scripts and disclosures used by AI voice agents, phone systems, chatbots, websites, forms, text messages, and automations.

 

Core Pipelines may provide call transcripts, recordings, summaries, or logs when available, but availability is not guaranteed.

 

Client agrees not to use call recording, transcription, monitoring, or AI voice services in a way that violates applicable law, privacy rights, employment rules, industry rules, or third-party platform terms.

 

 

17. Third-Party Platforms and Services

 

Client understands that the services may rely on third-party platforms and providers, including but not limited to CRM systems, GoHighLevel, phone providers, SMS carriers, email providers, AI providers, payment processors, hosting providers, domain providers, calendar systems, website tools, analytics tools, review platforms, and other integrations.

 

Core Pipelines is not responsible for outages, delays, errors, deliverability issues, carrier filtering, account restrictions, account suspensions, platform changes, pricing changes, policy changes, service interruptions, data loss, integration failures, or loss of functionality caused by third-party platforms or providers.

 

Client agrees to follow all applicable third-party platform terms, policies, acceptable use rules, and compliance requirements.

 

Core Pipelines may modify, replace, suspend, limit, or remove features when required by third-party platform limitations, policy changes, technical issues, pricing changes, security concerns, or compliance concerns.

 

 

18. Data, Privacy, and Customer Information

 

Client acknowledges that the services may process personal information and business information, including names, phone numbers, email addresses, call recordings, transcripts, chat messages, appointment details, customer notes, lead information, website form submissions, business data, and related records.

 

Client represents that it has the legal right to provide such data to Core Pipelines and authorizes Core Pipelines, its vendors, contractors, and third-party providers to process such data as necessary to provide the services.

 

Client is responsible for providing all legally required privacy notices to its customers, leads, employees, users, and contacts.

 

Client is responsible for the accuracy, quality, legality, and source of all data provided to Core Pipelines or uploaded into the services.

 

Core Pipelines may access, process, store, transmit, or share Client data as necessary to provide services, troubleshoot issues, comply with law, enforce these Terms, prevent abuse, process payments, or work with third-party vendors.

 

Core Pipelines’ handling of personal information is also governed by its Privacy Policy.

 

 

19. Account Access, Data Export, and Cancellation Effects

 

Upon cancellation, termination, suspension, or non-payment, Core Pipelines may disable access to services, AI agents, automations, phone numbers, websites, dashboards, CRM tools, chat widgets, SMS tools, email tools, workflows, integrations, and connected systems.

 

Client is responsible for exporting any data it wishes to retain before cancellation or termination.

 

Core Pipelines may retain, delete, archive, or restrict access to Client data according to its internal policies, legal requirements, third-party platform limitations, and Privacy Policy.

 

Core Pipelines is not responsible for loss of access to phone numbers, domains, websites, automations, AI configurations, workflows, templates, data, third-party accounts, or platform features after cancellation, termination, suspension, or non-payment.

 

If Client wants to transfer phone numbers, domains, website assets, or other items after cancellation, Client must request the transfer in writing. Transfers may be subject to third-party platform limitations, unpaid balances, administrative fees, technical feasibility, and compliance requirements.

 

 

20. Ownership and Intellectual Property

 

Core Pipelines retains all rights, title, and interest in its systems, methods, templates, workflows, prompts, scripts, AI configurations, automation structures, training structures, internal processes, documentation, designs, strategies, software configurations, and proprietary materials.

 

Client receives a limited, revocable, non-exclusive, non-transferable license to use Provider-created materials only while Client maintains an active paid subscription with Core Pipelines, unless otherwise stated in writing.

 

Client may not copy, resell, sublicense, reverse-engineer, distribute, share, reproduce, or use Provider-created materials outside the services without written permission from Core Pipelines.

 

Client retains ownership of Client’s pre-existing business name, logo, brand assets, customer data, and content supplied by Client, subject to the rights granted to Core Pipelines to provide the services.

 

 

21. Acceptable Use

 

Client may not use the services for unlawful, misleading, abusive, harassing, fraudulent, spam-related, high-risk, or prohibited activities.

 

Client may not use the services to send messages without proper consent, scrape or upload unlawful contact lists, impersonate others, misrepresent offers, make false claims, violate platform rules, interfere with the security or operation of the services, or damage the reputation of Core Pipelines or its vendors.

 

Client may not use the services for hate speech, harassment, illegal products, deceptive marketing, unlawful lead generation, unauthorized data collection, regulated activities without proper compliance, or any use prohibited by Core Pipelines or its vendors.

 

Core Pipelines may suspend or terminate services immediately if Core Pipelines reasonably believes Client’s use creates legal, compliance, security, financial, reputational, carrier, vendor, or platform risk.

 

 

22. Support

 

Core Pipelines will provide support based on the package purchased. Support may be provided by email, chat, phone, dashboard, helpdesk, or other approved channels.

 

Support availability, response times, and support channels may vary by package.

 

Support does not include unlimited custom work, third-party troubleshooting, emergency response, custom development, complex integrations, or out-of-scope work unless stated in writing.

 

 

23. No Guarantee of Results

 

Core Pipelines aims to help businesses improve customer engagement, lead response, appointment booking, review management, communication speed, and operational efficiency.

 

However, Core Pipelines does not guarantee specific results, including but not limited to increased revenue, increased leads, increased booked appointments, improved reviews, improved rankings, reduced missed calls, return on investment, customer satisfaction, or business growth.

 

Client understands that results depend on many factors outside Core Pipelines’ control, including Client’s offer, pricing, reputation, market, location, competition, sales process, availability, customer service, advertising, follow-up, staff performance, compliance, and business operations.

 

 

24. Disclaimers

 

The services are provided “as is” and “as available” to the fullest extent allowed by law. Core Pipelines disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted service, error-free operation, accuracy, deliverability, or specific business outcome.

 

Core Pipelines does not guarantee that services will be uninterrupted, secure, error-free, compliant for Client’s specific industry, or compatible with every third-party platform.

 

 

 

25. Limitation of Liability

 

To the fullest extent allowed by law, Core Pipelines will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost leads, lost appointments, lost data, business interruption, reputational harm, customer disputes, or platform restrictions.

 

To the fullest extent allowed by law, Core Pipelines’ total liability for any claim arising from or related to the services will not exceed the amount paid by Client to Core Pipelines during the three months immediately before the event giving rise to the claim.

 

The limitations in this section apply regardless of the legal theory, including contract, tort, negligence, strict liability, warranty, or otherwise.

 

 

26. Indemnification

 

Client agrees to defend, indemnify, and hold harmless Core Pipelines, its owners, employees, contractors, vendors, affiliates, and partners from any claims, losses, damages, fines, penalties, chargebacks, disputes, attorney fees, or costs arising from or related to:

 

Client’s business;

Client’s products or services;

Client’s content, offers, claims, scripts, messages, or advertising;

Client’s customers, leads, employees, users, or contacts;

Client’s use or misuse of the services;

Client’s failure to obtain proper consent;

Client’s violation of communication laws, privacy laws, or consumer protection laws;

Client’s violation of third-party platform terms;

Client’s uploaded contact lists or data;

Client’s instructions to Core Pipelines;

Client’s failure to monitor or approve AI systems, automations, or communications.

 

 

27. Confidentiality

 

Each party may receive confidential or non-public information from the other party.

 

Each party agrees to use reasonable care to protect confidential information and to use such information only as needed to perform under these Terms.

 

Confidential information does not include information that is public, independently developed, lawfully received from another source, or required to be disclosed by law.

 

Core Pipelines may share confidential information with employees, contractors, vendors, and third-party providers as necessary to provide the services.

 

 

28. Force Majeure

 

Core Pipelines is not responsible for delays, failures, interruptions, or losses caused by events outside its reasonable control, including acts of God, natural disasters, internet outages, power failures, cyberattacks, labor disputes, government actions, platform outages, carrier issues, vendor failures, payment processor issues, changes in law, war, terrorism, pandemics, or other events beyond reasonable control.

 

 

29. Changes to These Terms

 

Core Pipelines may update these Terms from time to time.

 

Updated Terms may be posted on Core Pipelines’ website, checkout page, customer portal, or provided by email or other reasonable notice.

 

Continued use of the services after updated Terms become effective means Client accepts the updated Terms.

 

Material changes will not apply retroactively where prohibited by law.

 

 

30. Governing Law, Venue, and Disputes

 

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules. Any dispute arising from or related to these Terms or the services shall be brought in the state or federal courts located in Colorado, unless Core Pipelines elects another lawful venue.

 

The prevailing party in any dispute may recover reasonable attorney fees, court costs, collection costs, and related expenses where permitted by law.

 

 

31. Severability

 

If any part of these Terms is found to be invalid, unlawful, or unenforceable, the remaining sections will remain in full force and effect.

 

The invalid or unenforceable provision will be modified to the minimum extent necessary to make it enforceable, if permitted by law.

 

 

32. Entire Agreement

 

These Terms, together with any applicable order form, invoice, checkout page, pricing page, privacy policy, statement of work, or written agreement, make up the entire agreement between Core Pipelines and Client regarding the services.

 

These Terms replace any prior discussions, messages, proposals, or understandings related to the services, unless a separate signed written agreement states otherwise.

 

If there is a conflict between these Terms and a signed written agreement, the signed written agreement controls only for that specific conflict.
